TERMS OF SERVICE

“You,” “Your,” “Participant” and “Member” refer to you as a Participant in the Storyline Sessions masterclass program. “We” refers to Docucinema Inc dba Red Cup Agency, the Provider of the Storyline Sessions. “Session(s)” or “Meeting(s)” refer to a single Session or the multi-part Story Sessions series, as applicable. The “Cohort” refers to you and the other Members who are participating in the Sessions series. “Services” refers to the Provider facilitating the Sessions and the creation of Member-only materials, maintenance of a private communications channel on Slack or a similar service, and of other materials related to the Sessions. “Membership Benefits” refers to Services received by a Member. "Work Product" refers to your ideas, concepts, storylines, creative materials, and intellectual property.

E-MAIL COMMUNICATIONS

You will provide your email to us and agree that we may use your email to contact you about the Sessions. Your email will be used for no other purpose and will not be shared with anyone. 

WHEN WE MEET

We meet once a week for a 60-minute or 90-minute session. In advance of each week’s session we will send you a reminder email with the videoconferencing  link. 

ACCESS TO MATERIALS

You will have access to a private chat/communications channel created for you, on Slack or a similar platform. We will post Materials about the Sessions on that channel for discussion and sharing about the Sessions. Access to the chat communications channel will remain open for one month after the final Meeting of your Cohort. 

PAYMENT POLICY

The fee for the Sessions is paid  in full, in advance, or in two equal payment installments. Payment is by credit card or electronic payment. The payment, if paid in full, or the first part, if paid in installments, is due upon receipt of our invoice. You will receive an invoice from Docucinema Inc dba Red Cup Agency at least a week before your Sessions begin. If there is a second payment, you will receive an invoice, payable upon receipt, two weeks after your Sessions begin. We use Stripe or Intuit for secure payment processing. 

REFUND POLICY

Once your Sessions begin, no refunds will be provided. 

CANCELLATION POLICY

If you decide to cancel your Membership before the first Session Meeting, you may receive a full refund, minus a $100 cancellation fee. If you miss a scheduled Session, you may resume individually or with your Cohort group in the next Session. There will be no make up Sessions for missed Meetings. No recordings of the Sessions will be distributed, with the exception noted below.

USE OF AI HELPERS

In order to preserve the safety and confidentiality of the Sessions, no AI helpers will be used during the Sessions. For accessibility purposes, if a Member wants to use an AI helper, the Provider will offer a recording of the Session to the Member, who may process it through the AI helper of their choice, for their own personal use. 

CONFIDENTALITY

We will keep your information private, and will not share your information with any third party unless compelled to by law.

INTELLECTUAL PROPERTY 

When participating in the Sessions, you maintain ownership of your Work Product. Your Work Product is your sole intellectual property. No other group members have any authorship rights or are permitted to make a copyright claim or any other intellectual property claim with respect to your Work Product.

TERMINATION TERMS

We may cancel your participation in the Sessions if, in our sole discretion, it is no longer advantageous for you to continue. We will provide two-weeks notice in writing to you of any such termination. If this happens, you are only responsible for the pro rata share of the Membership fee. If you miss sessions or decide to withdraw from the group for any reason whatsoever, you are responsible for the full cost of your Sessions.

MUTUAL RESPECT

We do not support or amplify hate speech, misogyny, or discrimination against anyone. No Member may engage in hate speech, misogyny, or discrimination against any group.

RELATIONSHIP OF THE PARTIES

Docucinema Inc dba Red Cup Agency is an independent contractor and these Terms of Service do not create a joint venture, partnership or other type of entity between the parties.

LIMIT OF LIABILITY

You agree that the maximum amount of damages you are entitled to in any claim or cause of action arising out of or related to these Terms of Service, or the Sessions, are not to exceed the cost of your Membership. 

INDEMNIFICATION

You agree to indemnify and hold us harmless from any injury, property damage, liability, claim or other cause of action arising out of or related to these Terms of Service or the Sessions. 

FORCE MAJEURE

Either party may choose to be excused of any further performance obligations in the event of a disastrous occurrence outside the control of either party that materially affects the performance of Services, such as: an act of God (fires, explosions, earthquakes, hurricane, natural disasters, flooding, storms or infestation), or War, Invasion, Act of Foreign Enemies, Embargo, or other Hostility (whether declared or not), or any hazardous situation created outside the control of either party such as a riot, disorder, nuclear leak or explosion, or act or threat of terrorism.

SEVERABILITY

If any portion of these Terms of Service are deemed to be illegal or unenforceable, the remaining provisions of these Terms of Service remain in full force, if the essential provisions of these Terms of Service for each party remain legal and enforceable.

GOVERNING LAW

The laws of California govern all matters arising under or relating to these Terms of Service, including torts.

By submitting payment for the Storyline Sessions through our payment portal, or if attending the Sessions as a scholarship student, you acknowledge that you have read and agree to our Terms of Service.
